Terms of Service

Last updated: June 9, 2026

These Terms of Service (“Terms”) govern access to and use of DentalX (the “Service”), operated by VstreamX (“we”, “us”). By creating an account or using the Service you agree to these Terms. [Insert legal entity, address, and governing-law jurisdiction.]

1. The Service

DentalX is a multi-tenant practice-management platform for dental clinics (patient records, scheduling, treatments, billing, and related features). We may update, add, or remove features over time.

2. Accounts and eligibility

You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account. You must be authorized to act for your clinic and be of legal age. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to: use the Service unlawfully; upload data you lack the right to use; attempt to breach security or access other tenants’ data; reverse engineer or resell the Service; or interfere with its operation.

4. Customer Data and PHI

You retain ownership of the data you submit (“Customer Data”). You grant us a limited license to process it solely to provide the Service. For Protected Health Information, our Business Associate Agreement (BAA) governs and controls in the event of any conflict with these Terms. You are responsible for obtaining all patient consents and for the accuracy and lawfulness of the data you enter.

5. Fees, billing, and trials

Paid plans are billed in advance on a recurring basis through our payment processor. Trials convert to a paid plan unless cancelled. Fees are non-refundable except where required by law. We may change pricing with notice for future billing periods. [Confirm trial, refund, and tax terms with counsel.]

6. Intellectual property

The Service, including its software and content (excluding Customer Data), is owned by us and our licensors. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription.

7. Third-party services

The Service relies on third parties (e.g., cloud hosting, payment processing, AI, and messaging). Their terms may apply, and we are not responsible for third-party services.

8. Disclaimers

The Service is provided “as is” without warranties of any kind to the fullest extent permitted by law. DentalX is a software tool and does not provide medical, dental, or legal advice; clinical decisions remain the sole responsibility of licensed providers.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, and our total liability is limited as set out here. [Insert the liability cap and any carve-outs with counsel.]

10. Indemnification

You agree to indemnify us against claims arising from your Customer Data or your breach of these Terms, subject to the limits agreed with counsel.

11. Term and termination

Either party may terminate per the subscription terms. On termination, your right to use the Service ends; we handle your data under our offboarding process and the BAA. Sections that by their nature should survive (e.g., IP, disclaimers, liability) survive termination.

12. Governing law and disputes

[Insert governing law, venue, and any dispute-resolution/arbitration terms.]

13. Changes

We may update these Terms; material changes will be posted here with a new “Last updated” date and, where required, with notice.
